Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you (“you,” “user”) and Kosher Agent Inc. (“KosherAgent,” “we,” “us,” “our”) governing your use of the KosherAgent voice service reachable at +1 (845) 277-2212, the website at thekosheragent.com, and any associated software, APIs, or related products (collectively, the “Service”).

By calling the Service or using the website, you accept these Terms. If you do not agree, do not use the Service.

2. The service

KosherAgent is a phone-based voice assistant operated by Kosher Agent Inc. We use artificial intelligence to understand spoken requests and respond. Features evolve; we may add, remove, or change features. Material changes will be announced.

3. Eligibility

You must be 18 or older to create an account. Minors aged 13–17 may use the Service only under the supervision of a parent or guardian who accepts these Terms on their behalf. We do not knowingly allow children under 13 to use the Service.

4. Account & security

If you have an account: you are responsible for the confidentiality of any spoken PIN or other authentication factor you set; you must notify us promptly at security@thekosheragent.com if you suspect unauthorized use; you agree to provide accurate information and keep it current; you may not share your account credentials or impersonate another user.

5. Acceptable use

You agree to follow our Acceptable Use Policy. Prohibited uses include illegal activity, harassment, scraping or reverse engineering, attempting to circumvent safety controls, and using the Service to make safety-of-life decisions.

6. Your inputs & content

You retain ownership of what you tell the Service (“Inputs”) and the data you give it (calendar entries, contacts, reminders, etc.). You grant KosherAgent a worldwide, non-exclusive, royalty-free license to process your Inputs solely for the purpose of operating, maintaining, and improving the Service for you. We do not use your Inputs to train AI models. See our AI Use Policy.

7. AI-generated outputs

The Service’s responses are generated by artificial intelligence and may be inaccurate, incomplete, or out of date. You should independently verify any output before relying on it for an important decision. You may use the outputs of the Service for your own personal or business purposes. You may not use the outputs to train a competing AI service.

8. Not a substitute for professionals

The Service is not a doctor, lawyer, accountant, financial advisor, rabbinic authority, or emergency-response service. Do not rely on it for medical, legal, financial, halakhic, safety, or emergency decisions. In an emergency, dial 911 (or your local equivalent).

Calls are processed through our systems. Wherever applicable law requires consent of all parties to record a call, you confirm that everyone on your end of the call has been informed.

10. Pricing, fees & refunds

The Service is currently free during the early-pilot phase. We may begin charging in the future. If we do: we will give you reasonable advance notice; pricing will be disclosed before you can be charged; subscription fees, if any, are paid in advance and non-refundable except where required by law; we may offer refunds at our discretion.

11. Beta features

We may label some features “beta,” “preview,” or “experimental.” Beta features are provided as-is, without any service-level commitment, and may be modified, removed, or rolled back at any time.

12. Intellectual property

KosherAgent owns the Service, the website, the brand, and all related software and content (excluding your Inputs). We grant you a limited, revocable, non-transferable, non-exclusive license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or reverse engineer the Service except as permitted by law.

13. DMCA notices

If you believe content delivered through the Service infringes your copyright, send a notice to dmca@thekosheragent.com that includes: (a) your contact information, (b) identification of the copyrighted work, (c) identification of the allegedly infringing content, (d) a statement that you have a good-faith belief the use is not authorized, (e) a statement under penalty of perjury that the information is accurate and you are authorized to act for the rightsholder, and (f) your physical or electronic signature.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access for: violations of these Terms, security threats, abuse of the Service, non-payment of fees once we charge them, or as required by law. Upon termination, your right to use the Service ends immediately. We will retain your data only for the period set out in our Privacy Policy or as required by law.

15. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent any cannot be disclaimed, they are limited to the minimum period and remedy permitted by law.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER KOSHERAGENT NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100), OR (B) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

17. Indemnification

You agree to defend, indemnify, and hold harmless KosherAgent and its affiliates from and against any claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your: (a) use of the Service in violation of these Terms or applicable law, (b) Inputs, (c) violation of any third party’s rights, or (d) breach of any representation made to us.

18. Force majeure

Neither party will be liable for failure to perform an obligation due to causes beyond reasonable control, including natural disasters, war, terrorism, riots, labor stoppages, government action, internet or telecommunications failures, or pandemics.

19. Governing law

These Terms are governed by the laws of the State of New York (USA), without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

20. Dispute resolution

Before filing a formal claim, you agree to first contact us at hello@thekosheragent.com and try to resolve the dispute informally for 30 days. If we cannot resolve it informally, any unresolved dispute will be brought in the state or federal courts located in New York, and you and we consent to personal jurisdiction there. Each party retains the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidentiality.

21. Modifications

We may update these Terms. If a change is material, we will give reasonable advance notice (at least 30 days for paid subscribers) by email or in-call announcement. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

22. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

23. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.

24. Entire agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, AI Use Policy, and any order forms or written agreements between us, constitute the entire agreement between you and KosherAgent regarding the Service and supersede any prior or contemporaneous agreements on the subject.

25. Government users

If you are a U.S. federal, state, or local government user, the Service is “commercial computer software” within the meaning of FAR 12.212 and DFARS 227.7202. Government users acquire only those rights set out in these Terms.

26. Export controls & sanctions

You may not use the Service in violation of U.S. export controls or sanctions laws. You represent that you are not located in a sanctioned country or on a U.S. government denied-parties list.

27. Notices

Notices to you may be sent to the email or phone number associated with your account, or by in-call announcement. Notices to us must be sent to legal@thekosheragent.com with a copy to: Kosher Agent Inc., 87 Forest Rd, Ste 405, Monroe, NY 10950.
